Terms of Service

These Terms of Service ("Terms") govern your access to and use of services provided by Acutive Solutions LLP and its affiliate Acutive Solutions LLC (collectively "Acutive"). By accessing or using our websites, applications, or services ("Services"), you agree to be bound by these Terms.

1. Scope

These Terms apply to all visitors, clients, partners, and users of our Services.

2. Engagements and Deliverables

Engagements are defined by mutually executed Statements of Work or Order Forms. Deliverables are provided for the client’s internal business purposes unless otherwise stated.

3. Intellectual Property

Pre-existing IP of either party remains with that party. Unless otherwise agreed, Acutive grants a non-exclusive, non-transferable license to use deliverables for internal business purposes.

4. Confidentiality

Each party agrees to keep confidential information secure and use it only for purposes of the engagement, subject to standard exceptions (legal requirement, public domain, independently developed).

5. Data Protection

Personal Data is processed in accordance with applicable laws (GDPR, CCPA, DPDP). See our Privacy Policy for details.

6. Fees and Payment

Invoices are due as specified in the applicable SOW. Late payments may accrue interest and/or lead to suspension of Services.

7. Warranty Disclaimer

Services are provided "as is" without warranties of any kind, unless expressly stated in writing.

8. Limitation of Liability

To the maximum extent permitted by law, Acutive’s liability is limited to direct damages and shall not exceed fees paid in the preceding twelve (12) months. No liability for indirect, incidental, or consequential damages.

9. Indemnity

Client agrees to indemnify and hold Acutive harmless from claims arising out of misuse of the Services or violation of these Terms.

10. Termination

Either party may terminate for breach with reasonable notice and opportunity to cure, or as otherwise provided in the SOW.

11. Third-Party Services

Acutive is not responsible for third-party sites, tools, or integrations; use of third-party services is at your own risk and subject to their terms.

12. Governing Law

For users in India, these Terms are governed by the laws of India with exclusive jurisdiction in Pune, Maharashtra. For users in the United States, Texas law governs.

13. Changes

Acutive may update these Terms from time to time. Continued use of the Services constitutes acceptance of the updated Terms.
